1 Definitions

In these Terms & Conditions, the following definitions apply:

To participate in the affiliate programme, applicants must:

Registration does not guarantee acceptance. The Company reserves the right to approve or reject any application at its sole discretion without providing a reason. Upon approval, the Affiliate will receive access to the Portal and their branded website.

2.3 Account Security

The Affiliate is responsible for maintaining the confidentiality of their Portal login credentials. Any activity occurring under the Affiliate's account is their sole responsibility. The Affiliate must notify the Company immediately of any suspected unauthorised access.

3 Affiliate Obligations

As an active participant in the programme, the Affiliate agrees to:

4 Website & Branding

4.1 Domain & Design

The Company provides each Affiliate with a branded website under the Affiliate's chosen domain. The website design, colours, and content can be customised within the boundaries set by the Company's platform.

While the Company provides the technical infrastructure, the Affiliate is responsible for:

5 Commissions & Payments

5.1 Commission Structure

The Affiliate earns a commission on each Completed Booking generated through their Affiliate Website. The commission rate and structure are established during onboarding and may be adjusted by the Company with 30 days' prior written notice.

5.2 Calculation & Tracking

Commissions are calculated based on the final booking value after any discounts, promotions, or refunds. All bookings are tracked automatically through the Booking Engine and visible in the Portal in real time.

If the Affiliate disputes any commission calculation, they must notify the Company in writing within 14 days of the payment date. The Company will review and resolve the dispute within 30 business days.

Commission rates, payout thresholds, and specific payment schedules are detailed in the individual Affiliate Agreement provided upon acceptance into the programme.

6 Bookings & Customer Service

6.1 Booking Process

All bookings made through Affiliate Websites are processed by the Company's Booking Engine. Pricing, availability, and confirmation are managed by the Company. The Affiliate has no authority to modify prices, create manual bookings, or override the system.

6.2 Customer Relations

The Company handles all operational aspects of bookings including vehicle availability, insurance, and on-site service. The Affiliate may assist with initial customer inquiries but must direct operational concerns to the Company's support team.

6.3 Cancellations & Refunds

Cancellations and refunds are governed by the Company's standard cancellation policy. If a booking is cancelled or refunded, the corresponding commission is voided or deducted from the Affiliate's balance.

7 Intellectual Property

The Booking Engine, Portal, website templates, APIs, software, and all related technology are the exclusive property of the Company. The Affiliate is granted a non-exclusive, non-transferable, revocable licence to use the platform solely for the purpose of participating in the affiliate programme.

The Affiliate retains ownership of their own brand name, logo, and custom content. However, the Company is granted a licence to display these materials as part of the Affiliate Website's operation.

Marketing materials provided by the Company may only be used in connection with the affiliate programme and must not be altered without written consent.

8 Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information obtained during the course of the partnership. This includes but is not limited to:

Confidentiality obligations survive the termination of this agreement for a period of 2 years.

9 Prohibited Activities

The following activities are strictly prohibited and constitute grounds for immediate termination:

Zero tolerance: Any detected fraudulent activity will result in immediate account termination, forfeiture of all unpaid commissions, and may be reported to the relevant authorities.

10 Termination

10.1 Termination by Affiliate

The Affiliate may terminate participation at any time by providing 30 days' written notice via email. Pending commissions for Completed Bookings will be paid according to the standard payment schedule.

11 Limitation of Liability

The Company provides the platform and services "as is" without warranties of any kind, express or implied. While the Company strives to maintain high availability, it does not guarantee uninterrupted or error-free operation of the Booking Engine or Affiliate Website.

In no event shall the Company be liable for:

The Company's total liability under these Terms shall not exceed the total commissions paid to the Affiliate in the 12 months preceding the claim.

12 Modifications

The Company reserves the right to modify these Terms & Conditions at any time. Changes will be notified to Affiliates via email and/or via the Portal at least 30 days before taking effect.

Continued participation in the programme after the effective date of modifications constitutes acceptance of the updated Terms. If the Affiliate does not agree to the modifications, they may terminate their participation as outlined in Section 10.

13 Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of Spain. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Málaga, Spain.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a minimum period of 30 days from the date of the written dispute notice.
